1. Purpose of the Partnership
The Accommodation Provider wishes to offer its guests prepaid meals (breakfast), to be provided by the Café/Restaurant through the intermediation of the “Guestin” online platform, managed by Guestin EE (“Guestin”), which acts as an intermediary. The Café/Restaurant agrees to provide prepaid meals to the Accommodation Provider's guests, in accordance with the terms hereof, in exchange for an agreed nominal value per meal and per person. The parties' cooperation is carried out through the “Guestin” platform, through which the Accommodation Provider issues vouchers for its guests and the Restaurant scans and redeems the vouchers upon guests' arrival, providing them with the meals (breakfast).
2. Issuance and Terms of Vouchers – Use and Scanning of Vouchers
The Accommodation Provider issues, through the “Guestin” platform, one (1) voucher per booking, corresponding to the total prepaid meals for that booking, calculated as the total number of guests multiplied by the number of nights of stay (total number of guests x nights of stay), at a nominal value per meal and per person agreed between the parties. The voucher shall state, at a minimum: the guest's full name, number of guests, and nights of stay. Each booking corresponds to one (1) meal per person per night of stay. It is noted that only one (1) meal per person is permitted per day. The prepaid meals under a voucher may not be combined, are not transferable to another date, and may not be redeemed in any other manner. Any meals not consumed on the day for which they are intended may not be consumed on another day nor redeemed in any other way. The Restaurant is required to scan the voucher upon the guest's arrival, so that consumption is recorded. The number of meals consumed shall be evidenced exclusively by the data of the “Guestin” platform.
3. Meal Menu
The menu setting out the meal options available to the Accommodation Provider's guests shall be determined jointly by the Café/Restaurant and Guestin. Should a guest wish to consume items beyond the agreed menu, they shall be required to pay the Restaurant directly for the difference or the full price, irrespective of the voucher.
4. Breakfast Service Hours
Breakfast must be offered to guests exclusively within the hours agreed and set by the Café/Restaurant. Outside those hours, the Café/Restaurant is under no obligation to serve guests on the basis of the vouchers issued under this partnership.
5. Obligations and Liability of the Restaurant
The Café/Restaurant represents and warrants that it complies, and will continue to comply throughout the term hereof, with all applicable legislation, in particular trade, health, consumer protection, tax, and any other provisions governing the preparation, supply, and sale of food and beverages. The Café/Restaurant bears sole and full liability towards its customers and any third party for the quality, safety, suitability, and lawfulness of the products and services it offers. The Café/Restaurant undertakes to fully indemnify and hold harmless both the Accommodation Provider and Guestin from any claim, demand, damage, fine, administrative sanction, or legal expense (including attorneys' fees) that may arise against them from claims by customers or third parties relating to acts or omissions of the Café/Restaurant. The Café/Restaurant must maintain in force a public liability insurance policy with a recognised insurance company.
6. Obligations of the Accommodation Provider
The Accommodation Provider is required to issue valid and accurate vouchers. The Accommodation Provider is responsible for properly informing its guests as to the terms of use, validity period, and redemption method of the vouchers.
7. Platform Malfunctions
Should the Café/Restaurant or the Accommodation Provider identify technical issues, malfunctions, or errors while using the “Guestin” application, they must promptly notify Guestin (the platform administrator). In particular, if the Café/Restaurant is unable, for any reason, to scan vouchers, or vouchers are not accepted by the platform, the Café/Restaurant must not serve guests without prior communication with Guestin. Should the Café/Restaurant serve a guest without such prior communication, Guestin will not cover the cost of the breakfast provided.
8. Term – Termination
This agreement is entered into for an indefinite term. The Accommodation Provider may terminate this agreement in writing at any time, subject to ten (10) days' notice, or without notice in the event of a breach of these terms by the Café/Restaurant. The right to terminate this agreement is granted exclusively to the Accommodation Provider, given that the Accommodation Provider may have already pre-sold bookings to its guests that include breakfast.
9. Confidentiality
The existence and content of this agreement, as well as all commercial, financial, technical, and other information exchanged between the parties in connection herewith, constitute confidential information and must remain secret and confidential.
10. Governing Law and Jurisdiction
This agreement is governed by Greek law. The Courts of Athens shall have exclusive jurisdiction over any dispute arising hereunder.
